Terms of Service

1. Acceptance of Terms

These Terms of Service (the "Terms") form a binding agreement between you and Visit Our Directories, LLC ("Company," "we," "us," or "our") governing your access to and use of the Visit Our Church website and all related pages, features, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you may not use the Service.

2. Eligibility

You must be at least thirteen (13) years of age to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement and consent of a parent or legal guardian. By using the Service, you represent and warrant that you meet these requirements and that your use complies with all applicable laws.

3. Accounts

Certain features may require you to register for an account. Account registration is not yet available. When it becomes available, the following provisions apply:

1. (a) you agree to provide accurate, current, and complete information and to keep it updated;
2. (b) you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account;
3. (c) you must notify us promptly of any unauthorized use of your account; and
4. (d) we may suspend or terminate any account that we reasonably believe violates these Terms.

4. Nature of the Service

The Service is an informational directory intended to help users discover churches and ministries. The Company does not operate, own, supervise, or endorse any church, ministry, or organization listed on the Service.

Listings currently displayed on the Service are illustrative samples and do not represent verified records. Even once verified Listings are available, service times, programs, staff, beliefs, and other details may change without notice. You are solely responsible for confirming information directly with a church before relying on it.

5. Church Listings and Claims

Church representatives may in the future be permitted to claim, create, or manage a Listing. Listing claims and submissions are not yet available. When offered:

1. (a) Authority. You represent that you are authorized to act on behalf of the church or ministry whose Listing you claim or manage.
2. (b) Accuracy. You are responsible for the accuracy and lawfulness of all Listing content, including any names, images, or personal information of clergy, staff, or members.
3. (c) Verification. We may require reasonable proof of authority and may decline, revoke, or transfer a claim at our discretion.
4. (d) Membership fees. Paid membership features, if offered, will be described at the time of purchase, including price, billing cycle, and cancellation terms.

6. User-Submitted Content

1. (a) Types of content. "User Content" includes reviews, ratings, photos, comments, Listing details, and any other material you submit to the Service.
2. (b) License to us. You retain ownership of your User Content. By submitting it, you grant the Company a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, modify, adapt, display, and distribute such content in connection with operating and promoting the Service.
3. (c) Your representations. You represent that you own or have the necessary rights to your User Content and that it does not infringe or violate the rights of any third party.
4. (d) Prohibited content. You may not submit content that is false or misleading; defamatory, harassing, hateful, or threatening; obscene or sexually explicit; infringing of intellectual property or privacy rights; or promotional spam or solicitation.
5. (e) Moderation. We may, but are not obligated to, review, edit, refuse, or remove any User Content at our sole discretion and without notice.

7. Acceptable Use

You agree not to:

1. (a) use the Service for any unlawful, fraudulent, or harmful purpose;
2. (b) impersonate any person, church, or organization, or misrepresent your affiliation;
3. (c) scrape, harvest, or collect data from the Service by automated means without our prior written consent;
4. (d) interfere with, disrupt, or attempt to gain unauthorized access to the Service or its systems;
5. (e) post fake, incentivized, or conflict-of-interest reviews; or
6. (f) use the Service to send unsolicited communications.

8. Third-Party Links and Content

The Service may contain links to third-party websites, products, and services, including those listed on our Resources page. Such links are provided for convenience only. We do not control and are not responsible for third-party content, terms, or privacy practices, and the inclusion of a link does not imply endorsement, sponsorship, or partnership. Should affiliate relationships be introduced, they will be disclosed on the Service.

9. Intellectual Property

The Service, including its design, text, graphics, logos, trademarks (including "Visit Our Church" and "Visit Our Directories"), software, and compilation of content, is owned by or licensed to the Company and is protected by copyright, trademark, and other laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written consent.

10. Copyright Complaints

If you believe content on the Service infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act identifying the copyrighted work, the allegedly infringing material and its location, your contact information, a statement of good-faith belief, and a statement under penalty of perjury that the information is accurate and that you are authorized to act. Notices should be sent using the contact information in Section 18.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY LISTING, REVIEW, OR OTHER CONTENT IS ACCURATE, COMPLETE, OR CURRENT.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY OR ITS MEMBERS, MANAGERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE OR YOUR INTERACTIONS WITH ANY CHURCH OR USER. THE COMPANY'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US $100).

13. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its members, managers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your User Content, your use of the Service, or your violation of these Terms or any applicable law or third-party right.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination, including those concerning User Content licenses, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, shall survive.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State in which Visit Our Directories, LLC is organized, without regard to its conflict-of-law principles, and the governing jurisdiction will be stated here once published. Before filing any claim, you agree to first contact us and attempt to resolve the dispute informally for at least thirty (30) days. Any claim not resolved informally shall be brought exclusively in the state or federal courts located in that jurisdiction, and you consent to their personal jurisdiction. To the extent permitted by law, all claims must be brought in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

16. Changes to These Terms

We may revise these Terms from time to time. Revised Terms take effect upon posting with an updated Effective Date. Where changes are material, we will provide reasonable notice through the Service. Your continued use of the Service after revisions are posted constitutes acceptance of the revised Terms.

17. Miscellaneous

1. (a) Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and the Company regarding the Service.
2. (b) Severability. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
3. (c) No waiver. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
4. (d) Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
5. (e) Headings. Section headings are for convenience only and have no legal effect.
